Institutional Terms of Use &
Content Licensing Framework
Legal terms governing use of Knowledge GEMZ platform technology, intellectual property demarcations, and integration with institution-licensed third-party resources.
1. Agreement to Terms
These Terms of Use constitute a legally binding agreement between your institution or organization and Knowledge GEMZ (headquartered at Ontario, Canada). By accessing our website, demonstration environments, or licensed enterprise platform instances, you agree to comply with these terms.
2. Clear Demarcation of Technology vs. Licensed Content
A fundamental distinction exists between Knowledge GEMZ software technology and third-party scholarly or clinical content:
- Knowledge GEMZ Proprietary Technology: The Knowledge GEMZ discovery engine, semantic NLP indexing pipelines, AI assistant algorithms, user interface, and workflow automation tools are proprietary software owned and licensed by Knowledge GEMZ.
- Institution-Licensed Content & Databases: Knowledge GEMZ acts solely as a technological connector and unified discovery layer for external databases (e.g., EBSCOhost, ProQuest, IEEE Xplore, ScienceDirect, PubMed, SpringerLink, Wiley). Knowledge GEMZ is not the licensor of third-party publishers. Access to full-text materials, digital journals, and proprietary databases is strictly governed by the customer institution's direct subscription agreements with respective publisher content providers.
3. Institutional Intellectual Property
The subscribing institution retains 100% exclusive ownership of all uploaded institutional documents, proprietary reports, internal policies, faculty research outputs, and search query histories. Knowledge GEMZ acquires no ownership, patent, or copyright claims over institutional content processed through the platform.
4. Acceptable Platform Use
Authorized users agree to use the platform in compliance with applicable laws, academic integrity codes, and institutional guidelines:
- No reverse engineering, decompiling, or attempting to derive source code from the Knowledge GEMZ engine.
- No automated scraping or bulk exfiltration of publisher databases that violates publisher licensing limits.
- No utilization of platform AI features to generate deceptive academic misconduct or circumvent institutional research oversight.
5. Service Availability & SLA
Knowledge GEMZ provides enterprise service availability for hosted cloud tenants subject to terms defined in our institutional Master Services Agreement (MSA). Maintenance windows, backup cycles, and disaster recovery procedures are coordinated in advance with institutional administrators.
6. Canadian Jurisdiction & Dispute Resolution
These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal disputes arising from these terms shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.
